  • Paramount Board’s Special Committee Says It Is “Bound” By Merger Pact With Skydance; “There Will Not Be Any Engagement” With Rival Bidders

A special committee of Paramount Global’s board of directors says it is “bound” by a pending agreement to merge with Skydance Media and will not consider an 11th-hour offer from a rival bidder.

In a statement provided to Deadline, a spokesperson for the committee formed last year to evaluate opportunities and steer a merger, said investment group Project Rise Partners effectively arrived too late to the party.

“The transaction agreement between Paramount and Skydance Media enabled the Special Committee to pursue a superior proposal during the now-expired 45-day go-shop period, during which representatives of the Special Committee contacted more than 50 third parties to determine whether they had an interest in making a proposal to acquire Paramount,” the statement said. “Project Rise Partners did not make a proposal during such period, nor during the prior seven-month sale process for Paramount. It is unclear what PRP’s objectives are; however, Paramount is bound by its agreement with Skydance Media and there will not be any engagement with PRP in contravention of such agreement.”

The Paramount-Skydance deal was set last July after a months-long saga, with numerous parties looking into throwing their hat into the ring for the century-old Hollywood mainstay. Barry Diller, Sony Pictures Entertainment, private equity giant Apollo and a group of investors led by Seagram heir Edgar Bronfman Jr. were among the suitors. Skydance was able to leverage its longstanding ties with Paramount as a co-finance partner. CEO David Ellison, backed by his father, Oracle co-founder Larry Ellison, was also seen as having significant resources and passion to invest in the company’s core film, TV and streaming businesses.

After multiple offers from Skydance, the company and Paramount agreed on a two-step transaction worth about $8 billion. The dual-class structure of Paramount stock made the fine points of the deal tricky to nail down, with a number of stakeholders accusing controlling shareholder Shari Redstone of furthering her own interests at the expense of holders of Class B shares. A number of notable Class B shareholders voiced their disapproval of earlier versions of the deal, though the complaints diminished as Skydance sweetened its offer.

Lawyers for Project Rise Partners sent the committee a letter on Friday advising them that the body was obligated to consider its offer, which principals described as superior to the $8 billion Skydance deal. PRP’s offer was “increasing,” the letter said, to $19 per Class B share, compared with the $15 offered by Skydance, according to a report by Variety. (Axios last October had also reported on PRP agitating for consideration of its post-deadline bid.)

Curiously, the Friday letter also drew a contrast with Skydance in terms of staffing. It asserted that PRP (whose backers include Daphna Edwards Ziman, co-chairman of TV network Cinémoi, and real estate finance exec Moses Gross) would add to Paramount’s headcount despite the widespread cutbacks reshaping the entertainment business. (Paramount itself shed 15% of U.S.-based workers in recent months.)

Despite plans to invest significant resources from the Ellisons and minority partner RedBird Capital in bulking up Paramount’s streaming platforms and studio operations, job cuts are expected at Paramount once Skydance assumes control. Among other things, the company faces significant challenges in managing its sizable linear TV assets, and last year signaled as much to Wall Street when it took a $6 billion write down on the value of its cable networks.

When the Skydance bid was first accepted by the special committee last summer, the agreement stipulated that a 45-day “go-shop” window would enable the board to explore alternatives. As an SEC filing affirmed this month, representatives of Project Rise Partners were in contact with the special committee but their proposal did not get submitted until several days after the go-shop period expired.

The idea of a last-minute twist to the Paramount merger melodrama is migraine-inducing to some observers. “It’s just silliness,” one person familiar with the merger process said of the PRP saber-rattling. The entreaties by the investor group come as the deal is falling under fresh scrutiny from regulators at the Federal Communications Commission, which has taken issue with political coverage by Paramount’s CBS News.

FCC Chair Brendan Carr, appointed to the post by President Trump, has revived complaints of “news distortion” by CBS due to its editing of a 60 Minutes interview with former Vice President Kamala Harris. Trump also has filed a lawsuit in Texas over the Harris segment, prompting internal discussion at Paramount about ways to settle the suit in order to allow the merger to proceed to a close. Trump’s objections are creating these potential roadblocks despite the fact that Redstone and Ellison are both longtime supporters of the president, with the latter appearing last week at a White House news conference about a major new AI initiative.

Reps for Redstone, Paramount Global and Skydance declined to comment when contacted by Deadline.

In a recent announcement, the special committee of the Paramount board has made it clear that they are “bound” by the merger pact with Skydance and will not be engaging with any rival bidders. This decision comes after much speculation and interest from other potential buyers.

The committee emphasized that they have a fiduciary duty to uphold the terms of the agreement with Skydance and will not be swayed by any competing offers. This stance solidifies their commitment to the current merger and sends a clear message to other parties that their efforts will not be entertained.

While this news may disappoint some who were hoping for a bidding war, it ensures stability and continuity for Paramount’s future. The committee’s unwavering support for the Skydance merger demonstrates their confidence in the deal and their belief that it is in the best interest of the company and its shareholders.

Overall, this decision reinforces the Paramount board’s dedication to seeing the merger through to completion and sets a firm boundary against any potential distractions or interference from outside parties.

  • AUKUS pact keeping Chinese leader Xi Jinping up at night, Republican claims

A senior Republican in the United States congress says he’s “optimistic” about the future of the AUKUS deal under Donald Trump, arguing the partnership could help to deter a third world war.

The president-elect, who takes office on January 20, has not yet publicly stated his position on the plan for Australia to acquire nuclear-powered submarines from the US, as part of an agreement struck by sitting president Joe Biden.

But Texas representative Michael McCaul, who until recently was the chairman of the House Foreign Relations committee, said the concept started being discussed during Mr Trump’s first term.

“I think they have ownership, as well as this [current] administration, and that’s why I feel optimistic about it,” he said at an event at the Center for Strategic and International Studies (CSIS) in Washington.

“I have not seen anything to indicate they would back away from that. But congress will be on top of this.”

Mr McCaul argued Australia was the “bulwark or the beachhead” against countering China and that the country’s leader was closely watching both pillars of AUKUS — which includes the submarine deal and closer cooperation on advanced capabilities.

One man smiles and another maintains a neutral expression as they look in front of where they stand

Congressman McCaul claims President Xi is very concerned by the possibility of a sub deal between the US and Australia.  (AP: Andrew Harnik)

“I have been told in intelligence briefings, without getting into classified [information], this is a thing that keeps [president] Xi up at night,” he said.

“Because not only do you have the crown jewel, the beast of the ocean, coming over, but you also have this innovation and technology that they are trying to master.

“When you look at the great power competition with China, [artificial intelligence] and quantum [technology] is what they want to master before we do, and particularly when it comes to weapon systems.”

‘The power in the Pacific that we need to fortify’

Mr McCaul argued that a third world war — if it occurred — would most likely break out in the Indo Pacific region, possibly due to a miscalculation in either the Taiwan Strait or the Philippines, which the US has an obligation to defend.

Joe Biden in sunglasses speaking while Anthony Albanese looks on

The AUKUS project is estimated to cost up to $368 billion over the next three decades. (Reuters: Leah Millis)

“That obviously would escalate from China, China to Iran, China to Russia, China to North Korea. Then we’ve got Japan, South Korea, Philippines, Australia, which is the big player in the Pacific,” he said.

“And that’s why Australia, in my view, is the power in the Pacific that we need to fortify.”

The AUKUS agreement with the US and the United Kingdom aims for at least three nuclear-powered submarines to be sold to Australia from the early 2030s, before Australia builds its own boats.

Questions have been raised over whether the US could afford to transfer the submarines to Australia, given American shipbuilders have struggled to boost their own production.

Legislation passed by Congress states that whoever is in the Oval Office at the time of the sales would need to declare that they wouldn’t negatively affect the US’ own capabilities.

Democratic congressman Joe Courtney told the same CSIS event that efforts had been ramped up to ensure that’s possible.

“I think… these investments are paying off, the output is growing, and that we are going to be in a place where, I think the President can comfortably sign off,” he said.

Australia has committed to making a payment of US $3 billion ($4.8 billion) to help the US expand its submarine industrial base.

The head of the AUKUS submarine program in Australia has previously refused to say whether any of that money would be refunded, if the boats were not delivered.

The recent formation of the AUKUS pact between the United States, United Kingdom, and Australia has sent shockwaves through the international community. The security agreement, aimed at countering Chinese influence in the Indo-Pacific region, has left Chinese leader Xi Jinping tossing and turning at night, according to claims made by a Republican lawmaker.

The pact, which includes plans for the sharing of advanced military technology and nuclear-powered submarines, has been described as a significant escalation in the ongoing tensions between the West and China. Republican lawmakers have hailed the agreement as a necessary step to push back against China’s aggressive expansionist policies and human rights abuses.

In a recent statement, the unnamed Republican lawmaker claimed that Xi Jinping is losing sleep over the AUKUS pact, knowing that his ambitions for regional dominance are being challenged by a united front of Western powers. The lawmaker emphasized the importance of standing up to China’s growing influence and aggression, and expressed confidence that the AUKUS pact will serve as a powerful deterrent to Chinese aggression.

As the world watches the geopolitical chess game unfold, it is clear that the AUKUS pact has the potential to reshape the balance of power in the Indo-Pacific region. With Xi Jinping feeling the pressure of this new alliance, the stakes have never been higher.

  • SoundHound Launches AI Pact With EV-Maker Lucid

SoundHound Launches AI Pact With EV-Maker Lucid

Voice AI company SoundHound launched a partnership with electric vehicle maker Lucid.

The car company released its hands-free voice assistant, Lucid Assistant, powered by SoundHound’s artificial intelligence, according to a Thursday (Jan. 2) press release.

“Developing Lucid Assistant in cooperation with SoundHound enables us to deliver much more than a voice control feature,” Dr. Jean-Philippe Gauthier, head of software engineering at Lucid, said in the release. “In combination with Lucid’s frequent over-the-air software updates, Lucid Assistant can grow in functionality and capability over time, delivering an ever-better experience for Lucid owners.”

Available now to Lucid Air owners, the assistant responds to the wake words “Hey Lucid” and lets drivers and passengers “ask questions in a natural and conversational way and receive fast, accurate responses through SoundHound’s proprietary technology,” per the release.

“This technology ensures that the assistant selects the correct response from the most appropriate domain — whether that’s an answer powered by generative AI or the kind of response that other large language models may not handle, like real-time questions about weather, sports, stocks, and more,” the release said.

The assistant also lets users access Lucid’s full car manual and can give answers to almost any question about the vehicle’s functionality, while also allowing drivers to use voice to control features such as navigation, according to the release.

SoundHound is hosting a “hands-on experience” with the new assistant at its booth at the upcoming CES show in Las Vegas.

Generative AI allows drivers to have conversations with their connected cars.

It’s now possible “to have a much more conversational interaction with your vehicle compared to previous generations of AI,” Cerence Chief Revenue Officer Christian Mentz told PYMNTS in an interview last year.

One area where generative AI is making a difference is navigation. By integrating language models, navigation systems can be given reasoning and contextual awareness, allowing for improvement in interpreting requests.

For example, Mentz said, a driver can make a complex request like, “I’m hungry for a thin crust pizza,” and the system can interpret it, bringing up route guidance to an Italian restaurant with that variety of pizza on the menu.

As part of the partnership, SoundHound will leverage its industry-leading voice recognition technology to enable Lucid drivers to control various functions in their vehicles using natural language commands. This includes features such as adjusting climate control, playing music, making phone calls, and more, all without having to take their hands off the wheel.

The integration of SoundHound’s AI technology into Lucid’s vehicles represents a significant step forward in the evolution of in-car infotainment systems. By leveraging the power of AI, Lucid aims to provide its customers with a more personalized and intuitive driving experience, enhancing both safety and convenience on the road.
