    Here’s what to know about the CTA and its Jan. 13 rule for small businesses to register with FinCEN


    An anti-money laundering law called the Corporate Transparency Act, or CTA, is now back in action after a Dec. 23 court ruling that will require millions of small business owners to register with the Financial Crimes Enforcement Network, or FinCEN, by mid-January, or potentially pay fines of up to $10,000. 

    The registration rule had been on hold since Dec. 3, when a federal court in Texas issued a preliminary injunction prohibiting its enforcement. But on Monday, the 5th U.S. Circuit Court of Appeals lifted the order, ruling that the decision is in the “public’s urgent interest in combating financial crime and protecting our country’s national security.”

    The CTA requires that the owners and part-owners of an estimated 32.6 million small businesses must register personal information with FinCEN, such as a photo ID and home address, by Jan. 1. With the court ruling that enforcement can proceed, many small business owners may scramble to register ahead of deadline, although FinCEN said on Dec. 23 that it is extending the deadline until Jan. 13 due to the late December court ruling.

    “Reporting companies that were created or registered prior to Jan. 1, 2024 have until Jan. 13, 2025 to file their initial beneficial ownership information reports with FinCEN,” the agency said in a statement. “These companies would otherwise have been required to report by Jan. 1, 2025.”

    Some business associations say the extension still doesn’t give business owners enough time to meet the deadline.

    “We are greatly concerned that a mere two-week extension does not provide enough time for millions of American businesses to comply with the law,” Mark Eisele, president of the National Cattlemen’s Beef Association, wrote to Treasury Secretary Janet Yellen in a Dec. 24 letter. “At minimum, we request Treasury provide a one-year delay to allow for greater education and outreach to small businesses across rural America.”

    And some civil liberties groups decried the ruling, saying that the regulation represents governmental overreach.

    “The government cannot be allowed to maintain this unconstitutional statute, which stretches beyond Congress’s proper authority to regulate Americans,” said the New Civil Liberties Alliance, a civil rights group, said in a statement emailed to CBS MoneyWatch. 

    In an email to CBS MoneyWatch, a FinCEN spokesperson said the appeals court ruling “underscores the importance and urgency of the Corporate Transparency Act for national security.”

    “The Corporate Transparency Act levels the playing field for tens of millions of law-abiding small businesses across the United States and makes it harder for bad actors to exploit loopholes in order to gain an unfair advantage,” the spokesperson added.

    Here’s what to know about the ruling and the CTA.

    What is the Corporate Transparency Act, or CTA?

    The CTA, an anti-money laundering statute passed in 2021, was intended to get a look inside shell companies and crack down on attempts by “criminals, organized crime rings, and other illicit actors to hide their identities and launder their money through the financial system,” Treasury Secretary Janet Yellen said in 2022.

    The rules first became effective in 2024, but gave existing businesses until Jan.1, 2025, to register, while businesses that began this year have 90 days to register. 

    FinCEN is a bureau within the U.S. Department of the Treasury that investigates money laundering and other illegal financial activities. 

    What is the CTA’s beneficial ownership information rule, or BOI? 

    The reporting rule is the CTA’s Beneficial Ownership Information reporting requirement, or BOI, which mandates small businesses to register the following with FinCEN, according to the U.S. Chamber of Commerce. 

    • Your company’s full legal name.
    • Its business address (P.O. boxes or lawyers’ offices aren’t accepted, the Chamber of Commerce says). 
    • The state where the company was formed or first registered.
    • taxpayer identification number and an identity document, such as a filed Articles of Incorporation.
    • Beneficial owners’ full legal names and birth dates.
    • Beneficial owners’ home addresses.
    • A photocopy of beneficial owners’ U.S. driver’s license or passport.

    What is the deadline for registering with FinCEN?

    As mentioned above, companies that were created or registered before Jan. 1, 2024 have until Jan. 13 to file their ownership information reports with FinCEN, rather than the original Jan. 1, 2025 deadline. 

    Here are other filing deadlines, depending on the date of a business’ creation. 

    • Companies created on or after September 4, 2024 that had a filing deadline between December 3, 2024 and December 23, 2024 now have until January 13, 2025 to file with FinCEN.

    • Businesses created or registered in the U.S. on or after Dec. 3, 2024 and on or before Dec. 23, 2024 have an extra 21 days from their original deadline to file with FinCEN.

    • Those businesses that qualify for disaster relief may be have deadlines later than Jan. 13. Those additional deadlines can be found here

    How do businesses register under the CTA? 

    Small businesses can file their beneficial ownership information reports at this link with FinCEN. 

    What happens if I don’t register under the CTA? 

    The penalties are up to $591 per day for failure to file, according to FinCEN. 

    Businesses may also face criminal penalties of up to two years imprisonment and a fine of up to $10,000, the Chamber of Commerce notes. 

    Which businesses are exempt from the CTA filing?

    There are 23 types of businesses that are exempt from the beneficial ownership information filing, according to the Chamber of Commerce. These include many publicly traded companies and nonprofits, as well as some large operating companies.

    Many types of banks and other financial services businesses don’t need to file, according to FinCEN. Some other types of businesses, such as many sole proprietorships, are also exempt, it noted. (A list and Q&A on exemptions can be seen here.)

    What may happen next in the CTA case?

    It’s unclear, but its possible that groups fighting against the regulation could seek relief from the U.S. Supreme Court or ask for the 5th Circuit for additional review, according to the National Law Review.

    Commanders rule out Lattimore, 4 others for Falcons matchup


    ASHBURN, Va. — The Washington Commanders will be without Marshon Lattimore on Sunday against the Atlanta Falcons after the veteran cornerback reinjured his left hamstring last weekend.

    Washington ruled out Lattimore in addition to four others for Sunday night’s pivotal game vs. the Falcons (8-7). The Commanders (10-5) can clinch a playoff spot with a win or with a Carolina Panthers victory over the Tampa Bay Buccaneers earlier in the day.

    Right tackle Andrew Wylie (groin) and receiver Dyami Brown (hamstring) were the other starters ruled out. Linebacker Jordan Magee (hamstring) and safety Tyler Owens (ankle) also won’t play.

    Commanders coach Dan Quinn expressed optimism that defensive tackle Jon Allen would be activated off injured reserve in time for Sunday’s game. Allen tore his left pectoral muscle in a Week 6 loss at the Baltimore Ravens and was placed on IR on Oct. 16. At the time, he was expected to be out for the remainder of the season.

    But the tear was not as bad as initially feared, and Allen immediately set his sights on returning. Washington opened his 21-day window to return on Dec. 19. If Allen plays, he’ll likely be on a snap count. Washington must make a decision on Allen’s status by 4 p.m. Saturday.

    “He had a really good week,” Quinn said.

    As for Lattimore, a left hamstring injury caused him to miss his first four games with Washington after the team acquired him in a trade with the New Orleans Saints on Nov. 5. Lattimore returned to face the Saints on Dec. 15 — they didn’t target him one time.

    But in a win over the Philadelphia Eagles on Sunday, Lattimore injured the hamstring in the fourth quarter and was held out for the remainder of the game. It’s uncertain how much time Lattimore will miss. The Commanders close the regular season at Dallas.

    Without him, Washington can choose between veterans Mike Davis and Benjamin St-Juste opposite rookie Mike Sainristil. St-Juste replaced Lattimore vs. the Eagles and was the starter on that side before Lattimore began playing, but the team had started to rotate in Davis.

    Noah Igbinoghene will continue to serve as the slot corner.

    Veteran swing tackle Cornelius Lucas is likely to replace Wylie. Lucas has started six games this season, including one at right tackle. Brown’s absence stings because the team recently lost another wideout, Noah Brown, to a kidney injury. They did claim veteran K.J. Osborn off waivers two weeks ago.



    The Washington Commanders have ruled out star cornerback Marshon Lattimore and four other players for their upcoming matchup against the Atlanta Falcons. Lattimore, who has been dealing with a knee injury, will not be available to help defend against the Falcons’ passing attack.

    In addition to Lattimore, the Commanders will also be without defensive tackle Matt Ioannidis, linebacker Cole Holcomb, guard Wes Schweitzer, and wide receiver Curtis Samuel for the game.     Three players are questionable to play: receiver Christian Watson (knee), safety Javon Bullard (ankle) and linebacker Ty’Ron Hopper (ankle).

    Watson injured his knee on Monday night against the New Orleans Saints and did not participate in any capacity during practice this week, but LaFleur left the door open to the third-year receiver playing Sunday if his body responds over the weekend.

    Bullard, who missed two games with an ankle injury, could return after getting in three limited practices this week. His return could help ease the absence of Williams at safety.

    The Vikings had only two designations on their final injury report: cornerback Fabian Morean is out, and linebacker Ivan Pace Jr. is questionable.

    GREEN BAY – The Packers have listed safety Javon Bullard (ankle), receiver Christian Watson (knee) and linebacker Ty’Ron Hopper (ankle) as questionable for Sunday’s game against the Minnesota Vikings.

    Linebacker Quay Walker (ankle), safety Evan Williams (quadricep), offensive lineman Andre Dillard (concussion) and cornerback Jaire Alexander (knee) have been ruled out.

    Alexander didn’t practice on Friday after being estimated as a full participant Wednesday and participating on a limited basis Thursday. It’ll be the sixth straight game the seventh-year cornerback has missed.

    Watson didn’t practice this week, but Head Coach Matt LaFleur told reporters afterwards the door is “still open” for the third-year receiver to play in Minnesota.

    Bullard has missed the last two games with an ankle injury but practiced all three days in limited fashion. If Bullard isn’t cleared, Zayne Anderson likely would start next to Xavier McKinney at safety.

    “I think he’s done a good job of staying locked in,” said LaFleur of Bullard. “I feel like it’s pretty seamless, if you will, to get back in there. It’s just what direction we want to go.”

    Green Bay didn’t issue a game status for the following players who are expected to be available: guard/tackle Elgton Jenkins (knee), cornerback Corey Ballentine (knee), and tight ends Tucker Kraft (hip) and Luke Musgrave (ankle).

    The Vikings have ruled out cornerback Fabian Moreau (hip) and listed linebacker Ivan Pace Jr. (hamstring) as questionable.

    Minnesota didn’t issue a game status for the following players who are expected to be available: safety Harrison Smith (foot), defensive end Jalen Redmond (concussion), linebacker Blake Cashman (hip), fullback C.J.     PITTSBURGH — The Pittsburgh Steelers ruled out five players before their Week 17 game against the Kansas City Chiefs.

    The Steelers announced wide receiver Ben Skowronek (hip), cornerback Joey Porter Jr. (knee), quarterback Justin Fields (abdominal), defensive tackle Dean Lowry and linebacker Preston Smith will not play against the Chiefs.

    The Steelers ruled Porter and Skowronek out coming into the weekend after leaving Week 16 with injuries. Porter’s was initially feared to be a calf issue, but the injury turned out to be a knee. Skowronek was seen running into the tunnel during the first half against the Ravens and was quickly ruled out with a hip injury. Neither were able to practice throughout the week.

    Without Porter, the Steelers will turn to James Pierre opposite of Donte Jackson. Jackson, who missed Week 16, returns to the lineup from his back injury. Cory Trice and Cam Sutton are available off the bench for Pittsburgh.

    As for Fields, he’ll operate as the third and emergency quarterback for Pittsburgh. While he’s ruled inactive, he is eligable to play, only if both Russell Wilson and Kyle Allen are unable to finish the game.

    On the other side of their injuries, the Steelers did get four key players back in their lineup as George Pickens (hamstring), Larry Ogunjobi (groin), DeShon Elliott (groin) and Jackson (back) are all active after missing games.
