1. Acceptance of Terms

By accessing and using the Zion Tech Group website, services, tools, and content, you accept and agree to be bound by the terms and provision of services under these Terms of Service. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Zion Tech Group provides AI and IT consulting services, including but not limited to: AI automation, autonomous agent deployment, cybersecurity solutions, cloud migration and optimization, managed IT services, software development, and related consulting. We also provide free browser-based tools accessible through our website.

3. User Conduct

You agree to use our services only for lawful purposes and in accordance with these Terms of Service. You agree not to:

• Use our services in any way that violates any applicable federal, state, local, or international law or regulation
• Infringe upon or violate the intellectual property rights, privacy, or publicity rights of any third party
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our services or related systems
• Use our services to send unsolicited communications or spam
• Collect or harvest personal information from our services

4. Intellectual Property

All content, features, functionality, and services provided through our website and services are owned by Zion Tech Group or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our services without our express written permission, except as explicitly permitted in these terms.

You retain ownership of any content you provide to us. By providing content, you grant us a license to use, store, and process that content solely for the purpose of providing our services to you.

5. Free Tools

Our free browser-based tools are provided "as is" for personal and commercial use at no cost. You may use them without restriction, subject to the conduct rules in Section 3. We reserve the right to modify, suspend, or discontinue any free tool at any time with or without notice.

6. Paid Services

Pricing for paid services is provided upon request and is subject to change. Any fees quoted are valid for 30 days from the date of quotation.

Payment terms: payment is due within 30 days of invoice unless otherwise agreed in writing. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

You are responsible for all fees associated with your use of paid services. We reserve the right to suspend or terminate services for non-payment.

7. Service Levels

Service level commitments, if any, are specified in separate service level agreements (SLAs) signed by both parties. Unless explicitly stated in an SLA, we do not guarantee uninterrupted or error-free service.

We will not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to: internet outages, third-party service failures, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, strikes, or labor disputes.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party, including business plans, technical information, customer data, and pricing. This obligation survives termination of these terms for 3 years.

Confidentiality obligations do not apply to information that: (a) is publicly known through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

9. Limitation of Liability

To the maximum extent permitted by law, Zion Tech Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use our services
• Any unauthorized access to our servers and/or all personal information and/or confidential information stored thereon
• Any bugs, viruses, or other harmful components that may be transmitted to or through our services
• Any errors, mistakes, or inaccuracies in any materials provided via our services
• The conduct of any third party on or through our services
• Unauthorized access, use, or alteration of your transmission or content

Our total liability to you for any claim arising from or relating to these terms or our services shall not exceed the amount you have paid to us in the 12 months preceding the claim.

10. Disclaimer

Our services and content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that our services will be uninterrupted, secure, or error-free. We do not warrant that our free tools will meet your requirements or be available at all times.

11. Termination

These terms shall continue in full force and effect until terminated. We may terminate these terms and your access to our services immediately, without prior notice, for any reason, including without limitation if you breach these terms.

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and disclaimer — shall survive.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the federal or state courts located in San Francisco County, California.

You hereby irrevocably waive any objection to the laying of venue of any such proceeding and any claim that any such proceeding has been brought in an inconvenient forum.

13. Entire Agreement

These terms, together with any applicable service level agreements, statements of work, or other written agreements between the parties, constitute the entire agreement between you and Zion Tech Group regarding the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

Any ambiguities in the interpretation of these terms shall be resolved in favor of Zion Tech Group.
